SaaS Service Agreement (Template)

1. Parties

This agreement is entered into between the service user ("Party A") and the platform operator ("Party B"). Party A orders GEOForce Platform SaaS Services from Party B, and Party B agrees to provide the Services in accordance with this agreement.

2. Services and standards

Party B provides GEO (Generative Engine Optimization) SaaS Services per Party A's selected plan; specific features, quotas and service standards are as described in the plan, the Platform's Terms of Service and service level descriptions.

3. Term and fees

The service term starts upon activation and is billed per the selected cycle (monthly/yearly). Fees are as shown on the order page; Party A shall pay promptly per the agreed cycle.

4. Rights and obligations

Party A shall safeguard its account, be responsible for activity under it, and warrant the legality of content submitted; Party B shall provide the Services properly and apply reasonable security measures to protect Party A's data.

5. Data and intellectual property

Party A's data belongs to Party A. Statistical data generated in the course of the Services belongs to Party B (excluding information that identifies Party A). The Platform's software and documentation are owned by Party B.

6. Confidentiality

Both parties shall keep confidential the other's commercial and technical secrets learned during cooperation, and shall not disclose them to third parties without written consent, except as required by law or for information already in the public domain.

7. Liability and disclaimer

Any party in breach causing loss to the other bears liability per law. Losses caused by force majeure or third-party service failures are disclaimed to the maximum extent permitted by applicable law.

8. Termination and renewal

This agreement terminates automatically upon expiry of the service term; the parties may negotiate renewal. Party A may terminate the Services at any time by deleting its account through the Platform's procedures; paid fees are handled per the Terms of Service.

9. Governing law and dispute resolution

This agreement is governed by the laws of the People's Republic of China. Disputes shall be resolved through friendly negotiation; failing that, either party may submit the dispute to the competent court at Party B's location.
