Agency Cooperation Agreement (Template)

1. Purpose and scope

This agreement is entered into between the platform operator ("Platform") and the agency ("Agency"), governing the Agency's promotion and sale of Platform GEO services and commission arrangements.

2. Agency authorisation

The Platform grants the Agency a non-exclusive right to promote the Platform's services within the agreed region/industry. The Agency shall not make commitments on the Platform's behalf without authorisation.

3. Customer attribution and commissions

Customers who register and transact through the Agency's channel are attributed per the Platform's published agency policy, which also governs commission settlement; the specific commission rate is as confirmed in writing between the parties (or as published in the Agency's portal and accepted by the Agency). The Platform may adjust its commission policy with 30 days' prior notice to the Agency; continued cooperation after such adjustment constitutes acceptance. The Platform may verify customers referred by the Agency and their transactions.

4. Obligations of the parties

The Agency shall conduct promotional activities lawfully and in compliance, without false advertising or promising features the Platform does not provide. The Platform shall ensure service quality and settle commissions promptly per agreement.

5. Confidentiality

Both parties shall keep confidential the other's customer information, commercial policies and price structures learned during cooperation, and shall not disclose them to third parties without written consent.

6. Liability

Any party in breach causing loss to the other bears liability per law. If the Agency engages in false advertising or unfair competition, the Platform may terminate the cooperation and recover commissions already settled.

7. Term and termination

This agreement takes effect upon confirmation of cooperation and remains in effect until terminated by either party with written notice. Completed rights and obligations are unaffected by termination.

8. Governing law and dispute resolution

This agreement is governed by the laws of the People's Republic of China. Disputes shall be resolved through friendly negotiation; failing that, either party may submit the dispute to the competent court at the Platform's location.
